Terms of Service

These Terms of Service ("Terms") govern your use of the NAIQ Health Tech platform at naiq.in and all associated services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use the service.
1. About NAIQ
"NAIQ", "we", "our", "us" refers to NAIQ Health Tech Private Limited, a private limited company incorporated under the Companies Act, 2013, with its registered office at Raipur, Chhattisgarh, India.
2. Services Offered
NAIQ provides AI consulting, readiness assessments, and strategic engagement services through four primary plans:

All prices are as stated. No additional tax is charged at this time.
3. Account Registration
- You must be at least 18 years old to create an account
- You must provide accurate, current, and complete information
- You are responsible for maintaining the confidentiality of your credentials
- You agree to notify us immediately of any unauthorised account access
- One person/entity may not maintain multiple accounts to bypass plan limits
4. Payment Terms
- All paid plans require full payment in advance before service delivery begins
- Payments are processed via Razorpay, a PCI-DSS certified gateway
- We accept Indian Rupees (INR) only at this time
- Razorpay payment IDs serve as primary transaction reference
5. Service Delivery Timelines

These timelines are estimates. Delays caused by client unavailability, missing information, or NDA delays do not count toward our SLA.
6. Refund Policy
Refund terms are governed by our separate Refund Policy, which is incorporated into these Terms by reference.
7. Intellectual Property
- Our IP: All NAIQ branding, methodology, frameworks, software, and proprietary research remain our exclusive property
- Your IP: Data and information you provide remains your property; you grant us a limited licence to use it solely to deliver the service
- Deliverables: Final reports and recommendations are licensed to you for internal business use; resale or republication requires written permission
8. Confidentiality & NDA
- We treat all client information as confidential
- Enterprise Scan clients may request a formal NDA, executed within 24 hours of request
- Our team operates under internal confidentiality obligations regardless of formal NDA status
9. Disclaimers & Limitations
- Advisory only: NAIQ provides strategic advisory services. We do not guarantee specific business outcomes, ROI, or financial returns
- No medical advice: Despite "Health Tech" in our name, NAIQ does not provide medical diagnosis, treatment, or clinical advice. Our services pertain to organisational AI strategy, not patient care
- No warranty: Services are provided "as is" without warranties of merchantability or fitness for purpose, to the maximum extent permitted by law
- Liability cap: Our total liability for any claim arising from these Terms is capped at the fees paid by you in the 12 months preceding the claim
- Excluded damages: We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business opportunities
10. Acceptable Use
You agree not to:
- Use NAIQ services for any unlawful purpose
- Attempt to reverse-engineer our methodology, software, or AI tools
- Misrepresent our recommendations as your own original work to third parties
- Use the platform to harass, defame, or harm any individual or entity
- Circumvent security features or attempt unauthorised access to our systems
11. Termination
- You may terminate your account at any time by contacting us
- We may suspend or terminate accounts that violate these Terms
- Termination does not entitle you to a refund except as provided in our Refund Policy
- Sections relating to IP, confidentiality, liability, and dispute resolution survive termination
12. Modifications
We may update these Terms periodically. Material changes will be notified via email or a banner on our site at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
13. Governing Law & Dispute Resolution
- These Terms are governed by the laws of India
- Disputes will first be addressed via good-faith negotiation
- Unresolved disputes will be subject to the exclusive jurisdiction of courts in Raipur, Chhattisgarh, India
- For enterprise clients, optional arbitration under the Arbitration and Conciliation Act, 1996 may be elected by mutual agreement
14. Force Majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, pandemic, government action, or major service provider outages.
